ERP system selection involves many variables, and ultimate decisions remain with the client. You agree to indemnify and hold harmless TurboSanctum AG, its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of our services or violation of these terms.

Governing Law

These terms shall be interpreted and governed by the laws of Germany. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Munich, Bavaria, Germany. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Termination

Either party may terminate service agreements with written notice as specified in the individual service contract. TurboSanctum reserves the right to terminate access to our website and services immediately if you violate these terms. Upon termination, you must cease all use of our services and return any confidential information. Provisions regarding confidentiality, intellectual property, limitation of liability, and governing law shall survive termination.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and TurboSanctum AG regarding the use of our services and supersede all prior or contemporaneous understandings.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes acceptance of the new terms.
